1. Purpose of this Service Declaration

This Service Declaration provides a plain-language description of the services offered by Sepay Inc. (“Sepay”, “we”, “us”, or “our”), the nature of Sepay’s role, and the main limitations that apply to the use of our services.

This document should be read together with Sepay’s Terms and Conditions, Privacy Policy, and any applicable client agreement.

2. About Sepay

Sepay Inc. is a Canadian corporation incorporated at the federal level and registered in the Province of Quebec.

Sepay provides technology-enabled payment, transaction facilitation, conversion, payout, and related infrastructure services.

Sepay’s services are intended to support practical payment, conversion, settlement, and payout use cases for approved business clients, merchants, and individual clients, subject to onboarding, compliance review, jurisdictional restrictions, and service availability.

The core principle of Sepay is non-custodial, execution-only model.

3. Services Provided by Sepay

Sepay may provide or facilitate the following services:

3.1. Merchant Payment Processing

Sepay enables approved merchants and business clients to accept and process customer payments through supported payment methods and settlement channels.

3.2. Conversion and Settlement Services

Sepay may facilitate conversion between supported fiat currencies and supported digital assets, upon client instruction and subject to applicable compliance checks.

3.3. On-Ramp and Off-Ramp Services

Sepay may support fiat-to-virtual-currency purchase flows and virtual-currency-to-fiat settlement flows for approved clients, where available and permitted.

3.4. Third-Party Payouts

Sepay may support payout and disbursement instructions to approved beneficiaries or client-designated accounts, subject to screening, monitoring, partner availability, and applicable requirements.

3.5. Payment and Technology Infrastructure

Sepay may provide API access, payment infrastructure, transaction monitoring, reporting tools, wallet infrastructure support, and related technology services for approved clients.

Not all services are available to all clients, jurisdictions, sectors, currencies, transaction types, or payment methods.

4. Sepay’s Role

Sepay acts as a facilitator and execution layer for client-instructed transactions. Sepay is not a bank and does not provide deposit-taking, lending, investment, brokerage, custody, tax, legal, accounting, or financial advisory services.

5. Non-Custodial Model

Sepay’s standard operating model is non-custodial.

This means that Sepay does not maintain client balances, does not accept deposits from the public, and does not hold or safeguard client funds as part of its standard service model.

Where virtual currency is used, it is held in wallets controlled by the client or another approved wallet holder. Sepay does not hold client private keys, seed phrases, wallet credentials, or unilateral transaction-signing authority.

Where fiat payment processing, settlement, account maintenance, safeguarding, liquidity, or conversion execution is required, these functions may be performed by banks, electronic money institutions, payment processors, liquidity providers, exchange providers, or other third-party providers.

6. Important Limitations

Clients acknowledge that:

6.1. Sepay is not a bank and does not accept deposits.

6.2. Sepay does not provide custody of client funds or virtual currency under its standard model.

6.3. Sepay does not guarantee exchange rates, liquidity, settlement timing, blockchain confirmation timing, third-party provider availability, or uninterrupted platform access.

6.4. Virtual currency transactions may be irreversible once broadcast or confirmed on the relevant blockchain network.

6.5. Clients are responsible for the accuracy of wallet addresses, bank account details, beneficiary information, payment instructions, and transaction information.

6.6. Clients remain responsible for their own tax, accounting, legal, and regulatory obligations.

6.7. Merchants remain responsible for their customers, invoices, goods and services, refunds, disputes, chargebacks, consumer complaints, and compliance with laws applicable to their business.
